Article 1: Definitions & Scope of Agreement
Important Notice: By creating your account and accepting these Terms and Conditions, you are entering into a legally binding business partnership agreement with Hurghada Grand Aquarium. Please read all clauses carefully before accepting.
1.1 Parties
This agreement is entered into between:
- First Party: Hurghada Grand Aquarium (hereinafter referred to as "the Aquarium")
- Second Party: The company registered through the B2B Portal (hereinafter referred to as "the Partner")
1.2 Subject of Agreement
This agreement governs the business relationship between the Aquarium and the Partner regarding the sale and distribution of admission tickets and related services through the B2B Portal.
1.3 Scope of Agreement
This agreement covers:
- Booking and purchasing admission tickets for individuals and groups
- Access to special corporate pricing and discounts
- Use of the electronic booking system and reservation management tools
- Financial reports and account statements
1.4 Acceptance of Agreement
By completing the registration process and accepting these terms, the Partner acknowledges having read, understood, and agreed to all clauses of this agreement. This agreement becomes effective from the date of registration approval by the Aquarium management.
Article 2: Rights & Obligations of the Parties
2.1 Partner Rights
- Access to special corporate pricing based on the agreed partnership tier
- Access to the B2B Portal for booking management
- Detailed reports on bookings and financial transactions
- Technical support from the Aquarium team during business hours
- Training on the electronic booking system
- Approved marketing and promotional materials from the Aquarium
2.2 Partner Obligations
- Provide accurate and up-to-date company information at registration and periodically
- Maintain confidentiality of portal login credentials (username and password)
- Comply with approved pricing and not sell tickets below the specified price
- Not transfer or sell portal access rights to any third party
- Make payments on the agreed schedule according to payment terms
- Comply with applicable cancellation and modification policies
- Immediately notify the Aquarium of any changes in company data or legal representative
2.3 Aquarium Rights
- Modify prices and offers with prior notice to the Partner
- Suspend or cancel the Partner's account in case of terms violation
- Review and amend the terms of this agreement with notice to the Partner
- Reject or suspend any booking that violates applicable policies
2.4 Aquarium Obligations
- Ensure continuous availability of the electronic booking service (except during maintenance)
- Provide technical support to the Partner
- Notify the Partner of any changes in prices or policies with sufficient notice
- Provide accurate and transparent reports on all transactions
Article 3: Confidentiality & Data Protection
3.1 Confidentiality Obligation
The Partner agrees not to disclose any confidential information obtained through this partnership, including but not limited to:
- Corporate pricing and profit margins
- Customer and visitor data
- Electronic system details and technical infrastructure
- Commercial and marketing strategies
- Internal financial reports
Warning: Any disclosure of confidential information will subject the Partner to legal accountability and compensation for any resulting damages, in addition to immediate termination of the partnership.
3.2 Customer Data Protection
The Partner is committed to protecting all customer and visitor data exchanged through the portal, including:
- Not sharing customer data with any third party without prior consent
- Using data only for booking-related purposes
- Implementing appropriate security measures to protect stored data
- Securely disposing of data when no longer needed
3.3 Account Security
The Partner assumes full responsibility for the security of their portal account, including:
- Keeping the password confidential and not sharing it
- Immediately notifying the Aquarium if unauthorized access is suspected
- Bearing responsibility for all operations conducted through their account
Article 4: Financial Terms
4.1 Pricing
- Corporate ticket prices are determined based on the agreed partnership tier
- The Aquarium reserves the right to modify prices with 14 business days' notice to the Partner
- Prices displayed on the portal are the approved and final prices
- Prices may include taxes or additional fees as per applicable laws
4.2 Payment Terms
- Payment method is determined upon registration approval (prepaid / credit / bank transfer)
- For prepaid: amount is deducted immediately upon booking
- For credit: payment is made according to the agreed schedule
- The Aquarium may suspend Partner services in case of late payment
4.3 Cancellation & Refunds
- Cancellations are subject to the cancellation policy in effect at the time of booking
- Refunds are processed according to the rates and timelines specified in the cancellation policy
- Used or expired bookings are non-refundable
4.4 Invoices & Financial Reports
The Aquarium provides the Partner through the portal with:
- Detailed account statements of all transactions
- Periodic invoices according to the agreed payment system
- Detailed booking reports
Article 5: Liability
5.1 Partner Liability
- The Partner bears full responsibility for the accuracy of data provided at registration
- The Partner is responsible for all bookings and transactions made through their account
- The Partner agrees to indemnify the Aquarium for any losses resulting from negligence or violation on their part
- The Partner is responsible for informing their customers about visit conditions and applicable policies
5.2 Aquarium Liability
- The Aquarium commits to providing agreed services at an appropriate quality level
- The Aquarium is not responsible for technical failures beyond its control
- The Aquarium is not liable for any indirect or consequential losses
- In all cases, the Aquarium's liability is limited to the value of the relevant transaction
5.3 Force Majeure
Neither party shall be considered in breach of its obligations in cases of force majeure, including but not limited to: natural disasters, pandemics, government decisions, wars, or any circumstances beyond reasonable control.
5.4 Termination of Agreement
- Either party may terminate this agreement with 30 days' written notice
- The Aquarium may terminate the agreement immediately in case of material breach
- Upon termination, the Partner must settle all outstanding financial obligations
- Confidentiality obligations continue even after agreement termination
Article 6: General Provisions
6.1 Amendments
The Aquarium reserves the right to amend these Terms and Conditions from time to time. The Partner will be notified of any amendments via email or through the portal at least 14 business days before the amendment takes effect. The Partner's continued use of the portal after the amendment constitutes acceptance of the changes.
6.2 Governing Law
This agreement is governed by Egyptian law, and the competent Egyptian courts shall have jurisdiction to adjudicate any dispute arising from the application or interpretation of this agreement.
6.3 Dispute Resolution
In the event of any dispute between the parties:
- The dispute shall first be resolved through amicable negotiation between the parties
- If no agreement is reached within 30 days, the dispute shall be referred to mediation
- If mediation fails, the matter shall be referred to the competent courts
6.4 Notices
All notices shall be deemed valid if sent to the email address registered on the portal or through the internal notification system.
6.5 Severability
If any provision of this agreement is deemed void or unenforceable, it shall not affect the validity and enforceability of the remaining provisions.
6.6 Entire Agreement
This agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes any prior written or oral agreements or understandings.
Note: By accepting these Terms and Conditions upon registration, the Partner acknowledges having read, understood, and agreed to all the above clauses, and undertakes to comply with them throughout the partnership period.
